1. Overview
These Terms of Service (“Terms”) govern access to and use of the Nala App and related services by business users (“Clients”). By registering or using any part of the Nala platform, you agree to be bound by these Terms.
Nala is a digital platform that helps local businesses create a personalized profile and increase their visibility with the public. It offers subscription-based services that allow business profiles, promotional offers, customer reviews, and other marketing tools to be published.
2. Account Registration and Eligibility
- Clients must be at least 18 years old and have the legal authority to represent their business.
- All information provided during registration must be accurate, current, and complete.
- Nala reserves the right to refuse, suspend, or terminate any account that violates these Terms or provides false or misleading information.
3. Service Description
A Nala subscription provides access to services such as:
- Creation of a personalized business profile
- Visibility on the platform and in internal search engines
- Ability to publish offers, images, links, schedules, and direct contact options
- Access to specific features depending on the selected plan (e.g., premium listing, sponsored visibility, weekly deals, etc.)
4. Business Responsibility and Compliance
- The Client is solely responsible for ensuring their business is legally registered and compliant with applicable federal, provincial, territorial, or international laws and regulations.
- Nala does not verify the legal status, licensing, or regulatory compliance of businesses listed on the platform.
- It is the sole responsibility of the business to ensure that all necessary permits, certifications, and authorizations are in place.
- Nala shall not be held liable for any damages, sanctions, or disputes arising from a business’s failure to comply with legal or administrative requirements in Canada or abroad.
5. Pricing, Payment, and Renewal
- All prices are listed in Canadian dollars (CAD) and exclude applicable taxes.
- Payment is required in advance before the business profile is published.
- Subscriptions may be semi-annual, or annual and will automatically renew unless canceled by the Client at least 10 days before the renewal date.
- No refunds will be issued for an active or partially used subscription period.
6. No Guarantee of Results
Nala does not guarantee increased sales, traffic, or conversions. Business performance depends on numerous external factors including the quality of the offer, competition, seasonality, and the Client’s own marketing efforts.
No refund requests will be accepted based on a lack of commercial results.
7. User-Generated Content
- The Client is solely responsible for the accuracy, legality, and ownership of the content they publish on their profile (texts, images, offers, links, etc.).
- The Client affirms they have the right to use and display any uploaded content.
- Nala reserves the right to edit or remove any content that violates laws, platform rules, or ethical standards.
8. Reviews and Ratings
- Reviews submitted by platform users are the sole responsibility of their authors.
- Nala is not responsible for moderating all reviews but reserves the right to remove abusive, defamatory, or false content.
9. Intellectual Property
- All content, design, and code on the Nala platform is the exclusive property of Nala or its licensors.
- Clients may not reproduce, reuse, or redistribute any platform content without prior written consent.
- Clients grant Nala a royalty-free license to display their business profile and visuals for promotional purposes.
10. Data Protection and Privacy
- Personal and business data collected is necessary to provide the service (billing, profile management, analytics).
- Nala does not sell or share data with third parties without explicit consent.
- Clients may request access, correction, or deletion of their data at any time by contacting [Insert contact email address].
11. Platform Availability
- Nala strives to maintain a secure and stable service but does not guarantee uninterrupted access.
- Service may be temporarily unavailable for maintenance or technical issues.
- Features may be modified or discontinued at Nala’s discretion without liability.
12. Use Restrictions
Clients agree not to:
- Use the platform for illegal or deceptive purposes
- Upload offensive, misleading, or unauthorized content
- Infringe upon third-party rights (intellectual property, privacy, etc.)
- Attempt to hack, disrupt, or reverse-engineer the platform
13. Termination
- Clients may terminate their subscription by notifying support at least 10 days before the next renewal. No refunds will be issued for remaining time.
- Nala reserves the right to terminate or suspend accounts at its discretion for any breach of these Terms or harmful behavior toward the platform or other users.
14. Limitation of Liability
To the extent permitted by law:
- Nala is not liable for indirect, incidental, or consequential damages resulting from use of the platform.
- Nala is not responsible for the conduct or content of listed businesses or users.
- The platform is provided “as is,” without warranties of any kind.
15. Governing Law
These Terms shall be governed by the laws of the Province of Ontario, Canada. Any disputes will be subject to the exclusive jurisdiction of the courts of Ottawa.
